Explanation of Responses:

1. Urban Partners II, LLC ("Urban Partners II") transferred 470,185 shares of common stock on August 9, 2019 to CIM Urban Sponsor, LLC ("CIM Urban Sponsor"), a former member of CIM Urban REIT, LLC ("CIM Urban REIT"), which is a member of Urban Partners II, in exchange for the assignment by CIM Urban Sponsor of all of its equity interests in CIM Urban REIT to, and the subsequent cancellation of such equity interests by, CIM Urban REIT. Such common stock reflected CIM Urban Sponsor's pro rata ownership interest in the common stock held by Urban Partners II.
